The provisions for the ongoing appointment of directors to the Tourism Partnership North Wales are enshrined within the Memorandum and Articles of Association.  The elected members will remain in office until the undertaking of a postal ballot in accordance with Procedure below.

  1. 1. The General Trade (3 No) and Marketing Area Trade Directors (4No) will be appointed following a postal ballot of the tourism community conducted at the regional level.

    Each of the Marketing Area Directors (4No) will be from one of the four Marketing Areas within the region of North Wales. The four Marketing Areas are Snowdonia - Mountains and Coast, Isle of Anglesey, North Wales Coastal Resorts, and North Wales Borderlands. The boundary of the four Marketing Areas shall be as defined by the Board of Directors, and candidates may only represent the Marketing Areas in which their business is based and or registered.
  2. The tourism community electorate will be represented by participants in Tourism Associations, businesses within the Wales Tourist Board, or AA, or RAC grading inspection schemes, and other tourism and tourism related businesses that register an expression of interest following a public notice given in the press.  
  3. Each participant organisation will have one vote. Each will mark a vote for up to 7 candidates on the postal ballot paper. 
  4. The appointment of the General Trade Directors will be for a period ending at the third Annual General Meeting, following the inaugural General Meeting of the Partnership. 
  5. The Marketing Area Trade Directors will be appointed for a period ending at the third Annual General Meeting, following the inaugural General Meeting of the Partnership. 
  6. The Marketing Area Trade Directors will be the highest scoring candidate, per the ballot, from each of the four Marketing Areas. 
  7. The General Trade Directors will be the three next highest scoring non-appointed candidates, per the ballot 
  8. The Marketing Area Trade Directors will have alternate advisors, to attend in their absence, they being the four next highest scoring non-appointed candidates, per the ballot, from each of the for Marketing Areas. 
  9. The Directors may appoint a Director to fill a vacancy, for a period ending at the third Annual General Meeting. 
  10. The Local Authority Directors will be the principal nominees confirmed in writing by the seven Local Authorities – Isle of Anglesey County Council, Gwynedd Council, Conwy County Borough Council, Denbighshire County Council, Flintshire County Council, Wrexham County Borough Council and Snowdonia National Park Authority. 
  11. The Local Authority Directors will have alternate advisors, to attend in their absence the nominees to be confirmed in writing by the seven local authorities. 
  12. The inaugural General Meeting will be of the Members of the Partnership. The Partnership will be incorporated as a Company Limited by Guarantee. The Members will be: 
    • 3 General Trade Directors 
    • 7 Local Authority Directors
    • 4 Marketing Area Trade Directors 
    • 1 Executive Director

    The number of members of the company will therefore be 15.

The first Executive Director will be WTB’s appointed Regional Strategy Director. 

The Financial Director/Company Secretary will not be a member of the company. 

The total number of directors of the company will be 16; the total number of alternates of the company will be 14.
